DARH RESEARCH · EQUITIES · RESEARCH PRIMER
A useful company thesis starts with evidence that can be checked. A Form 10-K brings together a company’s description of its business, management’s discussion, financial statements and risk disclosures.
Start with the business
Read the business section to identify how revenue is earned, which markets matter and who the competitors are. Then read management’s discussion alongside the financial statements, rather than treating the narrative as independent proof.
Connect profit, cash and risk
The income statement, balance sheet and cash-flow statement answer different questions. Notes to the accounts help explain important estimates and policies. The risk section identifies exposures that may weaken a thesis. A company files the report; the SEC does not guarantee its accuracy.
A DARH reading checklist
- Write the business model in one plain sentence.
- Record the reporting period beside every number.
- Separate reported facts from management expectations and your own assumptions.
- Identify one piece of evidence that would change your conclusion.
This is a reading framework, not a company valuation or an investment recommendation.
